TERMS OF BUSINESS

OUTSOURCING AGREEMENT for providing Managed Recruitment & Employment Services

These Terms and Conditions of Business are between Resource Selection (‘The Employment Business’) and _______________________('The Client').

The purchase of this service shall be deemed acceptance of and agreement to these Terms of Business.

The Client agrees to pay to the Employment Business the charges of the Employment Business as advised each month. Travelling, hotel and other expenses as may be agreed shall be itemised on the Employment Business invoice in addition to this charge. These charges and expenses will be invoiced monthly and are payable upon presentation by BACS transfer. VAT is payable in addition and will be shown on the Employment Business invoice. The Employment Business reserves the right to revert to their standard charges (ie non discounted for prompt payment which is 50% of the remuneration) should all amounts remain outstanding after 14 days.

The Employment Business assumes responsibility of payment of remuneration, deduction and administration of PAYE and National Insurance Contributions applicable to the Temporary Worker(s) as required by law. Payment of remuneration will be made on the____of the month subject to the Employment Business being notified by the Client of the requisite basic salary, shift allowance, overtime and standby/call out allowance due to the temporary worker(s) a minimum of 7 working days prior to the _____ of each month.

The Outsourcing Agreement will run for a minimum of 6 months and be subject to a monthly review.

Termination of the Agreement will be subject to 1 month’s notice to be given in writing by either party after the initial period of 6 months.

Termination of an individual within the provision of the outsourced service by the Client will be subject to the following terms:

The period of notice to be given in writing by the Client to terminate the employment (except in cases where summary dismissal is justified) is 1 week’s notice.

The Employment Business reserves the right to change the Conditions of Work of the assignment, subject to appropriate notice and consultation. Any such changes will be notified to you and recorded in writing.

Whilst the Employment Business endeavours to give satisfaction to the Client by ensuring reasonable standards of skill, reliability and integrity, no liability will be accepted by the Employment Business for any loss, expense, damage or delay howsoever arising from any failure to provide any particular, or any, member of its staff for all or part of the period of the booking, or for the negligence, dishonesty, misconduct or lack of skill of the staff provided.

The Client undertakes to supervise the Temporary Workers assigned to him sufficiently to ensure the Client’s satisfaction with reasonable standards of workmanship

Workers provided by the Employment Business are deemed to be under the direction and control of the Client from the time the Worker reports to take up duties and for the duration of the assignment and the Client agrees to be responsible for all acts, errors and omissions be they wilful, negligent or otherwise as though the Temporary Worker were in the employment of the Client and the Client will in all respects comply with all statutes, bye-laws and legal requirements to which the Client is ordinarily subject in respect of the Client’s own staff and third parties but excluding only the matters specifically mentioned in paragraph 4 of these terms.

The Client is responsible for providing adequate insurance whilst a Temporary is under the Client’s direction and control to the extent that any Temporary and The Employment Business have full benefit of cover for any liability which might arise. Temporaries are under the direction and control of the Client for the duration of their assignments.

Where practicable the Employment Business will take up references in respect of Temporary Workers but no liability will be accepted howsoever arising in respect thereof.

Law

These Conditions of Work are governed by the law of England & Wales and are subject to the exclusive jurisdiction of the Courts of England & Wales.
